Markets are extraordinarily efficient coordination machines — but they fail in a few systematic ways. Today we take apart how the state builds a control layer on top of markets: why we regulate (four classic types of market failure), how that control system gets captured in reverse, how antitrust law oscillates between two rival standards, and the newest puzzle — when the "market" itself becomes a platform, how do you write the rules? Throughout, we lay out each camp's logic and costs, without arguing that any regulatory stance is more "correct."

The case for regulation begins by admitting markets aren't omnipotent. The mechanism is asymmetric incentives: the benefit of a rule (say, higher prices) is concentrated on a few firms with strong motive and ample resources to lobby continuously; the cost is spread across millions of consumers, each paying a few dollars more, none with incentive to fight back. An organized minority always out-fights a dispersed majority — a replay of Olson's logic of collective action.

  • The revolving door: personnel flow between regulators and the regulated industry — today's official is tomorrow's executive, and vice versa. Antitrust law is the state's tool for preventing a single giant from dominating a market. The US Sherman Act (1890) and Clayton Act (1914) laid the foundation. But one fundamental question has never been settled: what exactly is antitrust meant to protect? History offers two competing answers.

  • The "consumer welfare" standard: exemplified by Chicago School scholar Robert Bork's The Antitrust Paradox (1978) — as long as prices don't rise and efficiency improves, being big is no crime. It became the mainstream US test, with a high bar.
  • The "structure / competitive process" standard: an older tradition (often traced to Justice Brandeis) — wary of the excessive political and economic concentration that size itself brings, looking beyond price. In recent years the neo-Brandeisian school, marked by Lina Khan's 2017 article, has revived this path.

  • Breakups: in 1911 Standard Oil was split into 34 companies; in 1984 AT&T was broken into several "Baby Bells." Breakup is the heaviest surgery — and the rarest.

  • The EU path: EU competition law is more proactive about "abuse of a dominant position," issuing large fines to major tech firms on several occasions — a more structuralist stance than the US has taken in recent decades.

How It Works

Digital platforms create structures the old regulatory frameworks struggle to fit. A platform is a two-sided market: it links buyers and sellers at once (merchants and shoppers, drivers and riders), and the more there are on one side, the more valuable the other becomes. This produces powerful network effects — winner-take-all, self-reinforcing scale. Thornier still, a platform is both referee and player: it runs the market while potentially selling its own products within it, holding all its rivals' data.

  • EU: legislate first. The Digital Markets Act (DMA, in force 2022, with obligations from 2024) sets behavioral red lines for "gatekeeper" platforms in advance (e.g. no self-preferencing, must allow interoperability) — an ex ante rules approach.
  • US: case-law-led. It relies more on litigating case by case under existing antitrust law, with slower legislation — an ex post enforcement approach.
  • Data governance: the EU set a strict baseline with the GDPR; countries are still probing the limits of platform responsibility for content, algorithms, and gig labor, with no unified paradigm yet.

Misconception: a platform is just a "bigger company," so old antitrust law suffices. 3. What is the biggest blind spot of the "consumer welfare" standard?
It compresses the benefits of competition into a single metric — price (and output). But when a product is free (social media, search), the price is zero and this ruler simply fails; it also struggles to measure long-term, non-price harms like stifled innovation, data monopoly, and excessive concentration of bargaining power and political influence. 5. Beyond a breakup, are there other cures for a platform that is "both referee and player"?
Several middle paths exist: behavioral rules (ban self-preferencing, require ranking transparency) that keep the platform intact but constrain its conduct; data interoperability and portability (users can take their data and switch platforms), which weakens the lock-in of network effects; and structural separation (a firewall between platform and first-party businesses, short of a full breakup). Each strikes a different compromise between preserving the platform's scale efficiency and preventing the referee from favoring itself — there is no once-and-for-all optimum.
